User Service Agreement and Privacy Policy

The User Service Agreement and Privacy Policy (the "Agreement") and its terms and conditions establish the agreement between you and Pyxis Lab,Inc. This Agreement and its terms and conditions establish the rights and obligations between you and Pyxis Cloud App with respect to the download, installation and use of the Pyxis Cloud App Software.

Once you acknowledge this User Service Agreement and the Privacy Policy, this Agreement becomes legally effective between you and Pyxis Cloud App, meaning that you fully agree to and accept all of its terms and conditions. Please read carefully and choose to accept or not accept the Agreement (minors should be accompanied by a legal guardian).

Use by the User

1. The user becomes a user of Pyxis Cloud App after completing all the registration steps according to the prompts given on the page. The user shall keep the account and password by himself/herself and use his/her account and password accurately and safely.
2. Users are responsible for the authenticity, legality, and validity of the information transmitted on Pyxis Cloud App, and any legal liability related to the information transmitted by the user is the responsibility of the user, not Pyxis Cloud App. Any content recorded by users in Pyxis Cloud App or transmitted through the Pyxis Cloud App Service does not reflect the views or policies of Pyxis Cloud App, and Pyxis Cloud App is not responsible for them.
3. Pyxis Cloud App reserves the right to suspend or terminate the user's use of the Software if the personal information provided or published by the user is untrue, inaccurate or illegal; if the published content does not comply with this Agreement or if the published content does not comply with laws and regulations. If the user has objections to the suspension or termination of Pyxis Cloud App or the withdrawal of his account, the customer may submit comments to Pyxis Lab,Inc. will review the information and give feedback to the user in a timely manner after receiving such complaints and comments from the customer. If the information is indeed untrue or inaccurate or not legally valid, Pyxis Cloud App Software requests the user to provide information that meets the requirements.
4. Users shall not use the Pyxis Cloud App Services to create, upload, copy, publish, transmit or reproduce the following.
   • Those that oppose the fundamental principles established by the Constitution.
   • Those that endanger national security, disclose state secrets, subvert state power, or undermine national unity.
   • Damage to national honor and interests.
   • Inciting ethnic hatred, ethnic discrimination, and undermining national unity.
   • Undermine the state's religious policy, promote cults and feudal superstition.
   • Spreading rumors, disturbing social order and destabilizing society.
   • Dissemination of obscenity, pornography, gambling, violence, murder, terrorism or abetting crime.
   • Insulting or slandering others, infringing on the legitimate rights and interests of others.
   • Other content prohibited by laws and administrative regulations.
5. Pyxis Cloud App will incur information costs for some of its functions, and the specific tariffs will be based on the prices announced by the telecommunication operators used by the users, which shall be borne by the users themselves.
6. The services provided by Pyxis Cloud App may contain advertisements, and the User agrees to display advertisements provided by Pyxis Cloud App and third-party providers and partners during the course of use. If the User has a dispute with a third party regarding the services or products provided by the third party, the User and the third party shall resolve the dispute on their own and Pyxis Cloud App shall not be held responsible.
7. Pyxis Cloud App reserves the right to unilaterally change, suspend, limit, terminate or withdraw all or part of the content of the services provided by its servers at any time without any notice due to business development needs.

Privacy Policy

Pyxis Cloud App respects and protects the personal privacy of all users of the Services and attaches great importance to the protection of users' privacy and personal information. This Privacy Policy helps you understand what data we collect, why we collect it, what we will do with it and how we will protect it.

We will use your personal information in accordance with the "Network Security Law of the People's Republic of China", "Information Security Technology Personal Information Security Specification" and other relevant laws and regulations, proven industry security standards and the agreements in this Agreement. Pyxis Cloud App will not disclose this information to the public or provide it to third parties without your prior permission, except as otherwise provided in this Privacy Policy.

Scope of collection and use of personal information

1. Registering for an account: When you register and log in to your Pyxis Cloud App account, you provide us with at least your account name, avatar, cell phone number or email address, and create a password. After successful registration, the information you provide above will be continuously licensed to us for the duration of your use of the Pyxis Cloud App Software and Services. When you cancel your account, we will stop using and delete the above information or anonymize your personal information, except as otherwise provided by law or regulation.
2. Other Uses: We will seek your prior consent to use information for purposes other than those described in this Privacy Policy.

As required by law or regulation, we will not be able to comply with your request in the following circumstances.

• In connection with national security or national interest.
• Those related to public safety and public interest.
• Related to your or a third party's significant interests and may lead to serious damage.
• Directly related to crime, judicial proceedings, governmental proceedings, etc.
• Where you have subjective malice or abuse of rights (such as where your request would endanger public safety and the legitimate rights and interests of others, or where your request is beyond what can be covered by ordinary technical means and commercial costs).

How we protect your personal information

In order to prevent the loss of your information, access without your consent authorization, public disclosure, leakage, transfer, etc. resulting in damage to your personal information, Pyxis Cloud App Software will take all reasonable, reliable and feasible programs and measures to protect the security of your personal information.

1. Security measures
• We will collect, use, store and transmit user information in accordance with national security standards and laws and regulations, and inform you of the purpose and scope of use of the relevant information through the user agreement and privacy policy. At the same time, we will apply encryption technology to personal information to ensure the confidentiality and security of the data.
• Signing confidentiality agreements for those who have access to employee information, and regular training on security capabilities and awareness. Dedicated posts, only authorized employees can access personal information, and if the confidentiality agreement is violated, the employee will be held legally responsible.
• Strictly select partners, conduct background checks on them, and cooperate with well-known and reputable enterprises; sign confidentiality agreements with partners' information contactors, agree on the liability for breach of confidentiality, and provide only necessary and reasonable information.
• Establish a security team, which is responsible for developing and applying security technologies and procedures to ensure the security of Pyxis Cloud App software and personal information. We will conduct background checks on the head of the security team and the head of information technology, sign a confidentiality agreement, agree on legal responsibility for leaks, and provide ongoing training on their security capabilities and awareness.
• We establish a perfect information security management system and internal security incident disposal mechanism, etc.
2. Security incident notification
• We will preformulate an early warning program for Internet security events, timely dispose of system vulnerabilities, computer viruses, network attacks, network intrusions and other security risks, and in the event of events that endanger network security, we will immediately start the emergency plan, take appropriate remedial measures, and report to the relevant authorities in accordance with regulations.
• If a personal information security incident occurs, we will notify you through your reserved personal information (including cell phone number, email address, etc.) in a timely manner and inform you of the progress and impact of the case, and we will jointly take active and effective means to deal with it and take remedial measures to reduce the risk together with our security team, legal department and technical department. At the same time, we will take the initiative to report the situation of security incidents according to the requirements of relevant government departments and laws and regulations, and may take legal measures to resolve security incidents.
• If we decide to change our privacy policy, we will post those changes in this policy and where we deem appropriate so that you are aware of how we collect and use your personal information, who has access to it, and under what circumstances we may disclose it.

Personal Information of Minors

If you are a minor, we recommend that your guardian read the terms of this Privacy Policy carefully and use our products and services or provide information to us with your guardian's consent.

If your guardian does not consent to your use of our services or provision of information to us, please terminate your use of our services immediately and notify us promptly so that we can take appropriate action.

Legal liability and exemptions

1. Pyxis Cloud App Software is not responsible for downtime maintenance of the software, regular checks, updating hardware and software, interruptions and suspension of normal services caused by unexpected events, force majeure, computer viruses, system failures, etc. Pyxis Cloud App Software will do its best to avoid service interruptions and limit interruptions to the shortest possible time.
2. Pyxis Cloud App is not responsible for all losses suffered by users due to third parties such as communication line failures, technical problems, network, computer failures, system instability and other various force majeure reasons.
3. Any claims asserted against Pyxis Cloud App by any third party as a result of or arising out of the User's violation of the provisions of this Agreement or the relevant Terms of Service shall be the sole responsibility of the User.
4. The views and positions expressed by the User in the Pyxis Cloud App Software do not represent the position of Pyxis Cloud App, and the User shall be solely responsible for the content of the publication.
5. Customers are requested to keep their personal information properly, provide adequate protection and backup of personal information, and take appropriate precautions to reduce the risk of computer viruses or other malicious and destructive actions.
6. Since your privacy is quite important to this website, Pyxis Cloud App Software will not provide your personal information to unrelated third parties without reason, except for access by authorized authorities in accordance with the law or as agreed in Article 3, but will not be responsible for the consequences of information leakage caused by malicious infringement by third parties.

Intellectual Property Rights

1. The Software is developed by Pyxis Lab,Inc. All intellectual property rights in Pyxis Cloud App and all information content related to the Software, including but not limited to: text expressions and their combinations, icons, graphics, images, diagrams, colors, interface design, layout frames, related data, additional programs, printed materials or electronic files, are owned by Pyxis Lab,Inc. and are protected by copyright laws, international copyright treaties and other intellectual property laws and regulations.
2. Without the written consent of Pyxis Lab,Inc., Ltd, the user shall not implement, exploit, transfer or license any third party to implement, exploit or transfer the above intellectual property rights for any profit or non-profit purposes. In the event of such unauthorized acts, Pyxis Cloud App reserves the right to pursue legal responsibility of the person responsible.

Right of Modification and Interpretation

Legal application, jurisdiction and other

1. Pyxis Lab,Inc., Ltd. solemnly reminds the user of the terms of this agreement that may exist to exempt Pyxis Cloud App from liability and aggravate the user's obligations, please read carefully and consider the risks independently.
2. The laws of the People's Republic of China shall apply to the conclusion, entry into force, interpretation, amendment, supplement, termination, execution and dispute resolution of this Agreement; if there is no relevant provision in the law, reference shall be made to commercial practices or industry practices.
3. Any dispute or controversy arising from this Agreement or the use of Pyxis Cloud App shall be resolved by friendly negotiation between the parties; if such negotiation fails, either party shall have the right to submit the dispute to the jurisdiction of the Beijing Haidian District People's Court.
4. If any provision of this Agreement is deemed to be invalid, void or unenforceable, such provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions of this Agreement.
